As part of its sustained growth, Gaming1 is looking for a Legal Counsel to support the Corporate and HR support team.

The Legal Counsel will provide global legal joint support within the Corporate & HR Legal Support team with a focus on Corporate law & Finance matters. Under the supervision of the Corporate & HR support Legal Manager, the legal counsel will be tasked with the implementation (drafting, coordination, implementation, potential negotiation) of a series of legal documents, and with advising in his/her area of trusted matters the various Belgian and international companies of the Gaming1 Group in a proactive and strategic way.

YOUR ROLE

• Participate, as legal support, in corporate projects (for example, corporate reorganizations, mergers and demergers, coordination of annual approval of financial statements, project of setting up a newco, etc. ) ;
• In collaboration with the notary’s office, coordinate and implement “corporate” notarial deeds (incorporation, contributions, increase of capital, modifications of Articles of association, etc.) ;
• Coordinate and draft general shareholders' resolutions and ordinary resolutions approving the annual accounts, shareholders' decisions, decisions of the Board of Directors, and being responsible more generally of all the corporate housekeeping of the companies ;
• Bring a legal support to the finance team through drafting loan agreements, waivers, and other legal documentations related to corporate finance ;
• Monitor and carry out the renewal of the various mandates and more generally set up the organization of the corporate information at the level of all companies in close interaction with the Corporate Paralegal ;
• Perform legal research on various contractual and corporate related topics;
• Draft legal advices for the company with a contractual, corporate and finance orientation.
• Provide legal support in the context of international corporate governance, including coordination with foreign subsidiaries and external counsel, ensuring compliance with local regulations, and contributing to cross-border transactions and group-level corporate structuring.

YOUR PROFILE

• Master’s degree in law.
• Previous experience in a legal department, a law firm, or a Big Four is considered a plus.
• French & English (both written & spoken), Dutch is a plus.
• Strong attention to detail and high level of accuracy.
• Excellent interpersonal and communication skills.
• Strong adaptability and ability to implement procedures and guidelines.
• Solid writing and organisational skills.
• Autonomous and solution-oriented
